Please read these Terms of Service carefully before using our website or engaging our marketing services. By accessing our website or entering into a service agreement with SD Media, you agree to be bound by these terms.
1. Services
SD Media provides performance-based digital marketing services including Facebook and Instagram advertising, AI-powered creative production, lead qualification, CRM setup, appointment booking, and campaign optimization for remodeling contractors. The specific scope of services will be outlined in a separate service agreement between SD Media and the client.
2. Performance-Based Model
Our compensation model is based on qualified appointments delivered. A 'qualified appointment' is defined as a confirmed booking with a homeowner who meets the agreed-upon criteria (budget, project scope, timeline, and homeowner status) and is scheduled into your calendar. You are only charged for appointments that meet these criteria. Disputes regarding qualification must be raised within 48 hours of the appointment.
3. Client Responsibilities
You agree to provide accurate business information, respond to booked appointments in a timely manner, maintain a valid payment method on file, and cooperate with our onboarding process. You are responsible for your own advertising budget paid directly to Meta (Facebook/Instagram). SD Media is not responsible for results affected by your failure to attend or follow up on booked appointments.
4. Advertising Budget
Your advertising spend is paid directly to Meta Platforms (Facebook & Instagram) and is separate from SD Media's service fees. You maintain full control and ownership of your ad accounts. SD Media will manage campaigns on your behalf but does not take responsibility for Meta's platform policies, ad account restrictions, or changes to Meta's advertising algorithms.
5. Exclusivity
SD Media provides exclusive leads and appointments within your agreed service area. We will not work with a direct competitor in the same geographic market while your agreement is active. 'Direct competitor' is defined as another contractor offering the same primary service (e.g., kitchen remodeling) within the same city or metropolitan area.
6. Cancellation
Either party may terminate the service agreement with written notice. There are no long-term contracts or cancellation fees. Upon termination, you retain ownership of your ad accounts, CRM data, and any creative assets produced for your campaigns. Outstanding charges for qualified appointments already delivered remain due.
7. Intellectual Property
Ad creatives, copy, and campaign materials produced by SD Media for your campaigns become your property upon full payment. Our proprietary systems, processes, methodologies, and software remain the exclusive property of SD Media. You may not reverse-engineer, copy, or resell our systems or processes.
8. Limitation of Liability
SD Media's liability is limited to the fees paid for the specific appointments in dispute. We are not liable for indirect, incidental, or consequential damages, including lost profits or business opportunities. We do not guarantee specific revenue outcomes, as results depend on factors outside our control including your sales process, market conditions, and project availability.
9. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the engagement, including pricing, strategies, client data, and business processes. This obligation survives termination of the service agreement.
10. Governing Law
These Terms of Service are governed by applicable law. Any disputes arising from these terms or our services will be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to binding arbitration.
11. Changes to Terms
SD Media reserves the right to update these Terms of Service at any time. We will notify active clients of material changes via email. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
